1. Who we are
MatrixNet CMS ("the Service") is a cloud-based construction management platform operated by MatrixNet Technologies Pvt. Ltd., a company registered in Kathmandu, Nepal ("MatrixNet", "we", "us"). By creating an account or using the Service you ("you", "Customer") agree to these Terms of Service.
2. The service
The Service provides tools for managing construction projects, including project tracking, task boards, Gantt charts, bills of quantities, materials and vendor management, workforce and payroll records, invoicing, and reporting. We may add, change, or remove features as the Service evolves; material reductions in core functionality for paid plans will be communicated in advance where reasonably possible.
3. Accounts and acceptable use
- You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account.
- One account represents one company workspace. Users you invite are your responsibility.
- You must be at least 18 years old and authorised to bind the company you register.
- You agree not to: misuse the Service, attempt unauthorised access, interfere with its operation, resell it without our written consent, upload unlawful content, or use it to infringe others' rights.
We may suspend or terminate accounts that violate these terms, with notice where practicable.
4. Subscriptions, billing and trials
- Paid plans are billed in advance on a monthly or annual basis through our merchant of record, Paddle, which handles checkout, payment processing, and applicable sales taxes. Paddle's own terms apply to the payment transaction.
- Prices vary by billing country under our regional pricing policy and are shown before purchase.
- Free trials convert to read-only access if no subscription is purchased; we do not auto-charge without your explicit checkout.
- Subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period.
- Refunds are governed by our Refund Policy.
5. Your data
- You retain all rights to the data you and your team enter into the Service ("Customer Data"). We claim no ownership of it.
- You grant us a limited licence to host, process, back up, and display Customer Data solely to provide the Service.
- You can export your data while your subscription is active. After account closure we retain Customer Data for up to 60 days for recovery, then delete it from active systems.
- Our handling of personal data is described in our Privacy Policy.
6. Availability and support
We aim for high availability but the Service is provided on an "as is" and "as available" basis. Planned maintenance will be scheduled to minimise disruption where possible. Support is provided by email, with response targets depending on your plan.
7. Intellectual property
The Service, including its software, design, and branding, is owned by MatrixNet Technologies Pvt. Ltd. and protected by applicable intellectual property laws. These terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription; they do not transfer any ownership.
8. Disclaimers and limitation of liability
The Service supports — but does not replace — your professional judgement. You remain responsible for the accuracy of project, financial, payroll, and tax records you maintain and for compliance with the laws applicable to your business. To the maximum extent permitted by law, MatrixNet shall not be liable for indirect, incidental, special, or consequential damages, or loss of profits, revenue, or data. Our total aggregate liability arising from the Service is limited to the amounts you paid us in the twelve (12) months preceding the claim.
9. Termination
You may stop using the Service and cancel at any time. We may terminate or suspend access for material breach of these terms. Sections that by their nature should survive (data rights, liability limits, governing law) survive termination.
10. Changes to these terms
We may update these terms from time to time. Material changes will be announced via the Service or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
11. Governing law and contact
These terms are governed by the laws of Nepal, and disputes are subject to the jurisdiction of the courts of Kathmandu, Nepal, unless mandatory consumer law in your country provides otherwise.
